Konvyra Terms of Service

Last updated: 31 October 2026

These terms govern the use of Konvyra, a hosted CRM service, between the Provider and business customers. Konvyra is offered to businesses only, not to consumers. The Swedish version is a translation for convenience; if the two differ, the English version prevails (section 15.6).

1. Definitions

1.1 In these terms:

  • Provider or we means Stääv & Wollter Affärsutveckling Handelsbolag, org. no. 969775-6808, Snapphanens Väg 38, 235 43 Vellinge, Sweden, sales@konvyra.com.
  • Customer means the business named in the Order.
  • Service means Konvyra, the Provider's proprietary CRM delivered as a hosted service, with the functions included in the package stated in the Order.
  • Order means the quote or order that the Customer has accepted. It states the package, the number of Users, add-ons, the Fees, the Region, any special terms and, where bought, a service level agreement (SLA).
  • Instance means the Customer's own hosted environment of the Service.
  • Region means the hosting region of the Instance, the EU or the US, as stated in the Order.
  • Customer Data means all data, including personal data, that the Customer or its Users enter into, upload to or generate in the Instance.
  • User means an individual who uses the Service under the Customer's account.
  • Documentation means the user documentation for the Service published on konvyra.com.
  • DPA means the Provider's data processing agreement, published on konvyra.com, as part of the Agreement.
  • AI Provider means a third-party provider of AI models that the Service can send content to at the Customer's choice.
  • Fees means the amounts payable by the Customer under the Order.
  • Agreement means the Order, the DPA and these terms together.

2. Agreement and order of precedence

2.1 The Customer confirms that it enters into the Agreement in the course of its business and not as a consumer.

2.2 The Agreement is formed when the Customer accepts a quote in writing, including by email, or when the Provider confirms an order. Every quote refers to these terms, the DPA and the privacy policy. The versions in force on the date of the Order apply, subject to section 14.

2.3 If the parts of the Agreement conflict, they apply in this order:

  1. the DPA, as regards the processing of personal data (except that the Region and data location stated in the Order apply);
  2. the Order;
  3. these terms;
  4. the Documentation.

2.4 The Customer's own general or purchase terms do not apply, even if the Customer refers to them, unless the Provider has accepted them in writing.

2.5 The privacy policy on konvyra.com informs about how the Provider processes personal data as controller. It is not part of the Agreement.

3. The Service and changes to it

3.1 The Provider provides the Service to the Customer from the start date stated in the Order, for the number of Users and with the functions included in the package and add-ons stated in the Order.

3.2 The Instance is hosted in the Region stated in the Order. Customer Data stays in the Customer's Instance, except where the Customer expressly instructs otherwise (for example by using an AI Provider or an integration) and except for backups and sub-processing under the DPA. The Provider will not move the Instance to another Region without the Customer's written consent.

3.3 The Provider may develop, update and change the Service. The Provider will not materially reduce the functions included in the Customer's package during the term. If a reduction is necessary for legal, security or third-party reasons, the Provider will give notice in advance where practicable, and the Customer may terminate the affected part of the Service with effect from the date of the reduction and receive a pro rata refund of prepaid Fees for the period after that date.

3.4 The Provider may carry out maintenance and will try to limit disruption and to give notice of planned interruptions where reasonably possible. These terms contain no commitment on availability or on support response times. A service level agreement applies only if the Order includes one, and then only as the Order states. Support is provided on a reasonable-efforts basis through sales@konvyra.com unless the Order names another channel or a support level.

3.5 Calling. The Service offers click-to-dial: it opens the User's own phone's dialler and logs the outcome. The Provider does not carry, record or transmit calls and is not a telecommunications provider. The Customer is responsible for its telephony and for compliance with the rules on calling, call recording and marketing that apply to its use, including the Swedish Marketing Act (2008:486).

3.6 AI chat. AI chat uses the Customer's own AI Provider under the Customer's own agreement with that provider, unless the Order includes an AI Provider supplied by the Provider. What is sent to an AI Provider is the Customer's choice, and the Customer decides what its Users may send. The AI Provider's terms apply to the Customer's use of it, and the Provider is not responsible for an AI Provider that the Customer contracts itself, or for its processing. Where the Provider supplies the AI Provider, the Provider processes that content as processor under the DPA and remains responsible for its sub-processors as set out there. AI output may be incorrect or incomplete, and the Customer must check it before relying on it.

4. Accounts and acceptable use

4.1 The number of Users is stated in the Order. User accounts are personal and may not be shared. The Customer is responsible for its Users' use of the Service, for assigning access rights and for keeping credentials secret, and must notify the Provider without undue delay of any suspected unauthorised access.

4.2 The Customer may add Users during the term. Added Users are charged pro rata until the next renewal (section 7.4). Users can be removed only with effect from the renewal.

4.3 The Customer shall not, and shall ensure that its Users do not:

  • (a) use the Service unlawfully or in a way that infringes the rights of others;
  • (b) try to gain unauthorised access to the Service or to other customers' data, or probe, scan or test the Service's security without the Provider's written consent;
  • (c) circumvent technical limits, security or access controls, or overload the Service;
  • (d) copy, decompile or reverse engineer the Service, except where mandatory law allows;
  • (e) resell, sublicense or provide the Service to third parties, except under a separate written reseller agreement with the Provider;
  • (f) introduce malicious code; or
  • (g) use the Service to send unlawful or unsolicited marketing.

5. Customer Data

5.1 The Customer owns, and keeps all rights to, the Customer Data. The Provider may process Customer Data only to provide the Service under the Agreement and the DPA, and to meet legal obligations.

5.2 The Provider does not sell Customer Data, does not use it for its own purposes and does not itself use it to train AI models.

5.3 The Customer is responsible for the Customer Data, including that it has the right to enter it, a lawful basis for processing it and has given the information that data protection law requires. The Customer is the controller of the personal data in the Customer Data and the Provider is its processor under the DPA. The Service is not designed for special categories of personal data (GDPR article 9) or data about criminal offences (article 10). The Customer shall not enter such data unless it is necessary and lawful, and is then responsible for it.

5.4 The Provider may collect technical data about how the Service operates (such as logs, performance and error data) and use it to operate, secure, support and improve the Service, and may use it for improvement in a form that does not identify the Customer or any individual.

5.5 Export and return. During the term the Customer can export its Customer Data (CSV) as the package allows. When the Agreement ends, the Provider will on the Customer's written request, made within 30 days after the end of the Agreement (the Export Window), provide the Customer Data in CSV format at no extra charge. After the Export Window the Provider deletes the Customer Data as set out in the DPA.

5.6 The Provider keeps backups of the Instance as described in the DPA.

6. Confidentiality

6.1 Each party shall keep the other party's confidential information confidential, use it only for the Agreement and disclose it only to employees, partners, subcontractors and advisers who need it for that purpose and are bound by corresponding confidentiality. Customer Data, and non-public information about the Service's security, are confidential information.

6.2 Confidential information does not include information that is or becomes public without breach of the Agreement, that the receiving party already knew or developed independently, or that it lawfully received from a third party without a duty of confidentiality.

6.3 A party may disclose confidential information when required by law, court or authority, and shall then, where lawful, notify the other party in advance and limit the disclosure to what is required.

6.4 The duty of confidentiality applies during the Agreement and for five years after it ends. For Customer Data it applies for as long as the Provider holds it.

6.5 The Provider will not name the Customer as a reference without the Customer's consent.

7. Fees and payment

7.1 The Fees are set in the Order: the package, the Users, add-ons, a one-off start fee and one-off add-ons where they apply. The Order states the currency.

7.2 The Provider invoices by invoice only. Fees are invoiced annually in advance, with payment 30 days net from the invoice date. Where the Order provides for monthly payment, Fees are invoiced monthly in advance.

7.3 A one-off start fee and one-off add-ons are invoiced on the first invoice.

7.4 Users added during the term are invoiced pro rata from the date they are added until the next renewal. Users are removed only at renewal, and the Customer must notify the Provider of the removal before the notice deadline in section 8.2.

7.5 Prices are stated excluding VAT and other taxes. VAT is added as the law requires: for Swedish customers VAT is currently 25 %; for business customers in other EU countries the reverse charge normally applies on a valid VAT number; for customers outside the EU no Swedish VAT is added. The Customer shall give correct VAT information.

7.6 If the Customer pays late, the Provider is entitled to interest under the Swedish Interest Act (räntelagen, 1975:635) from the due date, and to a reminder fee and compensation for collection costs as the Swedish Act on Compensation for Debt Recovery Costs (1981:739) allows.

7.7 The Provider may change the Fees for a renewal term by written notice at least 60 days before the renewal term starts. If the Customer does not accept the change, the Customer may terminate the Agreement with effect from the end of the current term by giving notice before the renewal date. The Fees do not otherwise change during a term, except for added Users and add-ons the Customer orders.

7.8 The Customer may not withhold payment or set off against the Fees unless the Provider has accepted the counterclaim or it has been finally determined. A Customer that disputes an invoice shall object in writing, with reasons, before the due date and pay the undisputed part.

8. Term, renewal and termination

8.1 The Agreement starts when the Order is accepted and runs for the initial term stated in the Order. If the Order states none, the initial term is 12 months, also where Fees are paid monthly.

8.2 The Agreement is then renewed automatically for successive periods of 12 months, unless a party terminates it in writing at least 60 days before the end of the current term. Only where the Order states a monthly term is the renewal period one month and the notice period 30 days. Monthly payment of Fees alone does not change the 12-month default term.

8.3 A party may terminate the Agreement with immediate effect by written notice if the other party commits a material breach and does not remedy it within 30 days after written notice that describes the breach, or if the other party enters bankruptcy or restructuring, suspends its payments or ceases its business, to the extent the law permits.

8.4 When the Agreement ends, the Customer's access to the Service ends. Fees due for the period up to the end of the Agreement remain payable and prepaid Fees are not refunded, except that the Provider refunds prepaid Fees pro rata for the period after the end if the Customer terminates under section 8.3, 3.3, 13.2 or 14.2.

8.5 Section 5.5 and the DPA apply to the return and deletion of Customer Data. Sections 5.5, 6, 7 (as regards accrued Fees), 10, 12, 15 and 16, and any other provision that by its nature is meant to survive, continue to apply after the Agreement ends.

9. Suspension

9.1 The Provider may suspend the Customer's access to the Service, in whole or in part:

  • (a) if undisputed Fees are more than 14 days overdue after a written reminder;
  • (b) if the Customer's or a User's use of the Service seriously threatens the security or integrity of the Service or of other customers, or seriously or unlawfully breaches section 4.3; or
  • (c) if a law, court or authority requires it.

9.2 A suspension shall be limited in scope and time to what the reason requires. The Provider will state the reason and notify the Customer in advance where possible, otherwise promptly, and will restore access promptly when the reason has been remedied.

9.3 Fees continue to accrue during a suspension that the Customer has caused.

10. Intellectual property

10.1 Konvyra is proprietary. The Service, its software, design, trademarks and the Documentation, and all intellectual property rights in them, belong to the Provider or its licensors. The Agreement transfers no ownership.

10.2 The Provider grants the Customer a non-exclusive, non-transferable and non-sublicensable right to access and use the Service during the term for the Customer's internal business operations, for the number of Users in the Order. The Customer does not get access to the source code.

10.3 The Customer Data and the Customer's trademarks remain the Customer's. The Customer grants the Provider the right to host, copy and process the Customer Data as needed to provide the Service.

10.4 The Provider may freely use feedback and suggestions about the Service, but not the Customer's Customer Data or confidential information.

11. Warranties

11.1 The Provider shall provide the Service with reasonable skill and care and materially in accordance with the Order and the Documentation.

11.2 If the Customer reports a material non-conformity, the Provider shall correct it within a reasonable time.

11.3 Beyond this, the Service is provided as it is, as far as the law permits. The Provider does not warrant that the Service will be uninterrupted or error-free, that every defect will be corrected, or that it suits the Customer's particular purpose. The Provider does not warrant output generated by AI or the services of third parties. A trial or pilot provided free of charge is provided without any warranty.

11.4 The Customer warrants that it has the authority to enter into the Agreement and that it has the right to enter the Customer Data into the Service.

11.5 Mandatory law is not affected.

12. Liability

12.1 Each party is liable to the other for damage caused by its breach of the Agreement under Swedish law, subject to this section.

12.2 Cap. Each party's total liability to the other under or in connection with the Agreement, for all events in one contract year, is limited to the Fees that the Customer has paid for the Service in the 12 months before the event giving rise to the claim. If the event occurs in the first 12 months of the Agreement, the limit is the Fees payable for the first 12 months. A contract year is each period of 12 months from the start of the Agreement. The Order may state a different limit, and then the Order applies.

12.3 Exclusions. Neither party is liable for indirect loss, lost profit, lost revenue, loss of goodwill, or loss of data. As the sole remedy for loss of Customer Data, the Provider shall restore the Customer Data from its latest backup at the Provider's own cost.

12.4 The limits and exclusions in this section do not apply to:

  • (a) damage caused by intent or gross negligence;
  • (b) the Customer's obligation to pay Fees;
  • (c) breach of the confidentiality obligations in section 6; or
  • (d) administrative fines imposed on a party under article 83 of the GDPR for that party's own infringement, which that party bears itself.

They also do not apply where mandatory law does not allow them.

12.5 A party that wants to make a claim must notify the other party in writing, with a description of the basis for the claim, within six months from when it noticed, or should have noticed, the basis for the claim. A claim that is not notified in time is lost, to the extent the law permits.

12.6 Liability under the DPA follows this section, subject to article 82 of the GDPR (see the DPA).

13. Force majeure

13.1 A party is not liable for a failure to perform an obligation, other than an obligation to pay, if the failure is caused by a circumstance beyond its reasonable control that it could not reasonably have foreseen, avoided or overcome. Examples are war, terrorism, natural disaster, epidemic, government action, strikes and lockouts, extensive failure of power, internet or telecommunications, and a cyber attack that reasonable security measures could not have prevented. A failure by a subcontractor excuses a party only if the subcontractor is itself affected by such a circumstance.

13.2 The affected party shall notify the other party promptly and resume performance as soon as possible. If the circumstance lasts more than 90 days, either party may terminate the Agreement by written notice, and prepaid Fees for the period after the termination are refunded pro rata.

14. Changes to these terms

14.1 The Provider may change these terms and the DPA for the future. For an existing Customer, a change takes effect after written notice by email to the Customer's contact in the Order, at least 30 days before the change takes effect.

14.2 If a change is materially adverse to the Customer, the Customer may terminate the Agreement by written notice before the change takes effect, with effect from that date, and receive a pro rata refund of prepaid Fees for the period after it. If the Customer does not terminate, the change applies.

14.3 A change that is required by law or an authority, or that only clarifies the terms or is to the Customer's advantage, may take effect earlier.

14.4 Changes to the Order require a written agreement.

15. General

15.1 Neither party may assign the Agreement without the other party's written consent, which shall not be unreasonably withheld. The Provider may assign the Agreement without consent, with notice, to a company that takes over the Konvyra business.

15.2 The Provider may use subcontractors, including hosting providers, and remains responsible for their performance. Sub-processors of personal data are governed by the DPA.

15.3 Notices under the Agreement shall be in writing. They are sent to the Customer's contact in the Order, and to the Provider at sales@konvyra.com or the postal address in section 1.

15.4 The Agreement is the parties' entire agreement on its subject and replaces earlier discussions and promises. Changes must be in writing, subject to section 14.

15.5 If a provision is invalid, the rest of the Agreement still applies. A party's failure to use a right is not a waiver of it.

15.6 Language. The English version of these terms prevails. The Swedish version is a translation for convenience.

16. Governing law and disputes

16.1 The Agreement is governed by Swedish law, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

16.2 The parties shall first try to resolve a dispute through good-faith negotiation. A party raises a dispute by written notice to the other, and the parties' representatives shall then meet or confer. If the dispute is not resolved within 30 days after the notice, or another period they agree on, either party may bring it before the court.

16.3 A dispute that is not resolved by negotiation shall be decided by the Swedish general courts, with the district court (tingsrätt) for the Provider's registered office as court of first instance.

16.4 Section 16.2 does not prevent a party from applying for a payment order, or from taking steps to preserve its rights or to interrupt a limitation period.
